DEALER SERVICES CORP. withholding the title to my car because of dealer non-payment what can I do? Ok, this is a long story but I am gonna make it as short as i can. I bought a car from a dealer in another state. I paid for the vehicle in cash. The dealer bought my car from an auto auction. bounced the check he used to pay for the car by mistake. the auction came and took the car back. the dealer went and paid the auction for the car. Everything was going well except for now this issue. The DSC "Dealer services corporation" that the dealer used as financial help with buying cars etc....they have a floorplan of vehicles they basically borrow money to the dealer, so the dealer can purchase cars, and when a car is sold they pay the "DSC" back what they borrowed. My issue is that the dealer owes the DSC money from other sales that were made and were never paid back. They have all the titles to the vehicles that were sold. The titles to the vehicles that were on "borrowed money" that were on the floor plan. They have the title to my car even though it was NOT one of the cars that were bought with the "borrowed money" and it was NOT on their floorplan. They do not want to give me the title because the dealer owes them alot of money but they dont have any legal right to the vehicle now because I have the bill of sale and reciept for the car that it is already sold. Do I have any legal foot to stay on? little guy vs Major corporation ..... I recieved a bill friday out of the? blue with overage charges for internet use over the last 8 month period. It's an insane bill, now the company acknowledges someone else did it or its their equiptment and they also acknowledge that it was a mistake on their part to wait 8 months to tell me. How long do employers (especially temp agencies/contract agencies) have to keep records of your employment? I no longer temp but used to and can't believe I stayed in that industry so long. What a scam some of these guys have working... I worked for one agency for two years back in the mid-90s. Same job assignment even. (Yes, that was an incredibly foolish thing to, especially considering I did not like temping but that's another story.) I digress... Before I got my current job, my employer did a background check on me. The investigator actually called me up asking me if I could fax them a copy of my paycheck stub for proof that I worked there. The reason? The temp agency, Kelly Services - a major corporation- had purged my records. The investigator explained that it is very common for agencies to purge records after a few years...I got the job but only because one of my employees from the agency remembered me and verified this. But gees..How is that legal? Is this just a temp agency thing or another way of them telling the temps how much they really think of them?

Is it legal for a company owner to take $1mil in profits and divide it up and give it to his family members? The company I work for is locally owned and operated but we are a distributor for a major corporation. We sale and service only their product. It has come to my attention that our local company divided up the company profits and transferred into their personal accounts. Is this legal? I am an employee at McDonald's restaurant, and I have quite an interesting story that I need to ask Y!Answers about the legality of one of our customer's threats. We have a guy that comes in every once in a while, and he orders a double cheeseburger without pickles. He claims that he is deathly allergic to pickles and if he bites into one, he could potentially die. So today, he orders his normal double cheeseburger without pickles. He gets his order, comes back, and tells me that he needs to go throw up in the bathroom because he took a bite into his sandwich, and it turns out that it had pickles on it. These mistakes happen every so often, sometimes when we're busy, we make mistakes, like any normal humans would. He claims we were trying to "poison" him and that he wanted to name of the person who made the sandwich. And was telling us that he would file a lawsuit if we ever did this again. You would think that if he was "deathly allergic" to pickles that this guy would, you know, check his sandwich before taking a huge bite out of it. But nope, he'd rather come back to the counter and harass the McDonald's employees. What can I do if I sued someone using the wrong name? Ex:DBA instead of Corporation? I sued someone a while back and won the court case but the court informed me that I named the defendant wrong. Instead of putting him and his company down as a "Corporation" i said he was "Doing Business As=DBA". Legal question: Does this have the potential to get ugly? I was arrested in Walmart for petit larceny (merchandise was worth about $50, mostly makeup). The judge suggested that I plead 'not guilty' because I am a university student (18 years old) and the court doesn't like to ruin the futures of young people who show promise (paraphrasing what they told me). I was given an ACD and 20 hours of community service. If I don't get in trouble for the next six months, the case will be sealed. On top of the legal charges, Walmart's lawyers filed a civil claim and asked for $200+ to settle the matter. The district attorney who suggested the judge give me an ACD told me (off the record) that I shouldn't bother paying it because a huge corporation like Walmart probably wouldn't bother going after a poor student, especially since they got all the merchandise back and didn't actually lose anything. Since I followed his advice and didn't respond to the request, the lawyers sent another notice asking for more money ($500+). My family is really distraught over this and acting very paranoid, so my question is this: Keeping in mind that Walmart is huge and quite busy trying to fight tons of legal battles filed AGAINST itself (I read that they get sued about 2-5 times a day in federal court alone), would they really bother taking someone like me to court? And if they did, could they win even when (a) the value of the merchandise was relatively low, (b) they got back all the stuff anyway, and (c) I was essentially found not guilty of the crime and my case will almost certainly be dismissed? Suing an Out of State Corporation? I am a hardworking father and husband. I usually do my taxes myself and am pretty knowledgeable about the process. By doing a worksheet, which is part of the software I normally use, I calculated I owed almost 2 thousand dollars to the IRS. Yikes! While pondering this I heard the TV ad for a nationally well known tax preparation services company. They guaranteed they could do better than what an individual could because they were “tax experts”. I spent some time with the tax expert at the local H&R Block office. He was less than impressive and I had to remind him several times that he had errors which were obvious to me. He kept assuring me that it passed the “tax scrutiny software provided by his company.” The preparer came back with a figure of $700 owed to the IRS. I was pleased and I paid them $450 for them to prepare all forms and, since it was offered, I paid for their "Peace of Mind" guarantee. Total cost to me with payment to the company and the IRS was $1150 or just over half of what I had calculated. Maybe these guys really are tax experts! Their guarantee was explained to me that if I ended up owing taxes that they had not for-seen or calculated for they would happily cover them, meaning that they would pay the taxes owed. They filed the taxes with my payment of $700 and, you guessed it, the IRS comes back a few days later and says there are multiple errors on this return and you owe $900 more! (Which is exactly what I had estimated myself and would have owed anyway!) I went to H&R Block and filed a claim under “Peace of Mind” with the office manager stating: “This is so obviously our fault.” Two weeks go by and I get a letter from their Home Office: “You claim is denied!” I called all over trying to reach someone about this matter. Everyone within the company I talked to stated: “This is so simple, we did not file your taxes correctly, we should pay any taxes that the IRS says you owe.” By this time it is now 4 weeks after the claim was denied. Of course that is what was said. However, you would not believe the phone chase, endless e-mails and call backs during my work time that I endured trying to get this company to honor their advertised commitment to accurate tax preparation. Finally, I went to discuss with District Manager and was told by a claims manager: "We are not responsible. These were taxes you your-self calculated that you owed. But I can offer you a voucher for next year’s tax prep.” Yea right! I was pretty peeved. “What do I have to do I asked. File a BBB complaint, protest in front of the store, and go online to blog about this awful experience to anyone who will listen?” To which she said: "Don't forget, we have your personal information like you and your wife's SSN!" I have made numerous attempts to contact higher ups. Again I always get from the customer service department: “We will honor our guarantee.” When I went online and started to blog about this experience I met hundreds of people who have had this same experience. I finally found the executive offices and spoke to Anthony who stated that he would do everything he could. He sent the claim back for a second look and, right again, it was denied this time with the person calling me at work. “Mr. Y, your claim is denied and this is final!” I am planning to sue. I e-mailed the local BBB and was told I would have to file the complaint with BBB where the National Headquarters are in Kansas City. When I tried to do this I was told that I could not file a complaint from out of state. So what good is the BBB? One blogger stated that this company “is very bad about denying claims and feels that they are too big to be touched by an individual. “ This is just another symptom of the cancer that is poor customer service. Is mandatory cable TV payments legal? My friend lives in a MHPark that charges more than the cable company does for basic service. It is CA, but I have never heard of a "luxury item" being imposed on a renter. Is it legal? There are many people there on low and fixed incomes, so money matters. Since the corporation that owns the park has deep pockets, would they stand a chance in court, since the manager says pay, move or sue. They own their own mobilehomes, but pay space rent, so "moving" is troublesome. I don't understand it but they don't really have leases now? Leases were signed when they moved in 5 years ago, but each year they just get an updated copy of the Mobilehome Residency Law. In the second year there was a new lease offered for acceptance but nothing like that since. I couldn't find anything in the MH Residency Law that applied to this situation. Could it be considered gouging if they charge more than the regular rate the cable company does?
Am I at a legal liability? Basically this is what went down. I am an 18 year old gamer who was caught in a bad situation when a person I met online told me that if I bought them Ten Bucks on the internet phone known as "Skype", they would give me a video game cd-key in return. I agreed and didn't think much of it at the time. When I asked him what he was going to do with it, he told me that he runs an internet broadcast where he prank calls like gay-bars and stuff. However, later that night, I went to listen and realized he did stuff like commit fraud to walmart over the phone by pretending to be a rep from a corporation. I immediately contacted the Skype Admins and had the account shut down. I also contacted walmart asset protection services and state poliec who took a report from me. This was about 3 motnhs ago. I just haven't had any closure and ive lost a bit of sleep. This is in the US. The key here is I didnt know he was going to commit fraud, I thought he just did pranks to gaybars and hooters. Why have churches sold out to the government? Obtaining Corporation Status (501c3) is Against God The word "church" is not meant to refer to any physical building, but refers to the worldwide body of believers in Christ. The word "church" (ecclesia in Greek - called out ones) does not refer to any organization, no matter it's name or legal status. Keep that in mind when reading this article. It is time for Christians to wake up and turn back to God. We need to turn to the Lord and repent of our sins that we have committed against Him. We need to ask for forgiveness of tolerating idolatry that removes His Sovereignty over His Church. To see that the Church is in grave danger we must have a clear understanding of what a corporation is. We also need to realize what the courts have ruled about corporations and that a corporation has no rights, only privileges, granted by the "estate." To become a corporation removes the authority of the Lord over a corporate church and puts it under the bondage of man's law. According to man, The State is Sovereign over its Corporations 1. "A corporation is a creature of the state. It is presumed to be incorporated for the benefit of the public. It receives certain special privileges and franchises and holds them subject to the laws of the state and the limitation of its charter. Its powers are limited by law. It can make no contract not authorized by its charter. Its rights to act as a corporation are only preserved to it so long as it obeys the laws of its creation. There is a reserved right in the legislature to investigate its contracts and ascertain if it has exceeded its powers" (Hale v. Henkel, 201 U.S. 43) 2. "[A corporation is] an artificial person or legal entity created by or under the authority of the laws of a state. An association of persons created by statute as a legal entity.... The corporation is distinct from the individuals who comprise it (shareholders).... Such an entity subsists as a body politic under a special denomination, which is regarded in law as having a personality and existence distinct from that of its several members." "A corporation derives its existence and all of its powers from the State and, therefore, has only such powers as the State has conferred upon it. The church on the other hand was created by and is the body of Christ. We belong to Him and we are subject to Him and His Laws. The source of any church's power is supposed to be the Holy Spirit; it's authority to function solely from God. 4. "Corporate existence is a privilege granted by the sovereign upon compliance with specified conditions" Len Young Smith and G. Gale Roberson, Smith and Roberson's Business Law, West Publishing Company, 1966, page 931. . 5. "Corporations are not citizens.... The term citizen... applies only to natural persons... not to artificial persons created by the legislature" Paul v. Virginia, 8 Wall. 168, 177; see also the Opinion of Field, J., in the Slaughterhouse Cases, 16 Wall.36,99 The Word of God teaches us that Christians, His Holy Church, are citizens of the household of God (Eph.2:19). 6. Every corporation has obtained a charter from the State of Incorporation. This charter is simply permission to exist given to the corporation (by the State!) without which, its operations would be considered illegal. In addition to the charter are the articles of incorporation: "The objects or purposes for which a corporation is formed are expressly stated in its articles of incorporation, which delineate in general language the type of business activities in which the corporation proposes to engage" Smith and Roberson's Business Law, West Publishing Company, 1966, page 798. 7. "Instances of non-profit corporations are educational institutions, athletic clubs, library clubs, fraternities, sororities, hospitals, and organizations which have exclusively a charitable purpose" Smith and Roberson's Business Law, West Publishing Company, 1966, page 789. (Note: The purpose of the church is not "charity," nor is it's purpose exclusively charitable. Charity should be a function of every church, but is certainly not it's purpose. Offering worship to God, evangelism to the lost, and the fellowship and equipping of the saints are among church's exclusive purposes. (gm) The Lord is Sovereign over His Churches : Jesus is the Head of the Church, not man Paul compares the special relationship of Christ and His church to the God giving relationship of man and wife. What can be closer or more special then this? Would you bring another person into your marriage to control it with worldly principles? I hope the answer is no. Then why would you bring in a "fictitious entity" no less created by the state and man i.e.: corporation, to run and regulate something that belongs to the Lord? The relationship with Jesus and His Church belongs to Him alone. He is the Head of the Church and as such He governs it with His Laws, Principles and Directions. After all He is our King and is Sovereign over His Church. To become a corporation in effect divorces the church from Christ. We also commit idolatry by putting something before Him. Eph 5:23 For the husband is the head of the wife, even as Christ is the head of the church: and he is the saviour of the body. Christ is the Saviour of the body (the church); not the state. 24 Therefore as the church is subject unto Christ, so let the wives be to their own husbands in every thing. The church is subject to Christ not the state. 25 Husbands, love your wives, even as Christ also loved the church, and gave himself for it; Christ has purchased the church with His own blood. The State can give nothing for the church and should give nothing to the church. 26 That he might sanctify and cleanse it with the washing of water by the word, 27 That he might present it to himself a glorious church, not having spot, or wrinkle, or any such thing; but that it should be holy and without blemish. The church should be holy and without blemish, to mingle the church with the state/worldly system is to bring spot and wrinkle to the church because of what the state/world does and says, homosexuality, abortion, adultery and many other things are acceptable, they pass laws making them that way. This goes against God; should the church be partakers of that? 28 So ought men to love their wives as their own bodies. He that loveth his wife loveth himself. 29 For no man ever yet hated his own flesh; but nourisheth and cherisheth it, even as the Lord the church: The Lord nourishes and cherishes the church. Throughout history the state has tried to destroy the church. It still does through legislation trying to control all aspects of the free and corporate church. 30 For we are members of his body, of his flesh, and of his bones. The church is a living organism with a living head and body. Therefore the church is not a religious organization. It is possible to be a religious or charitable organization without being a church. 31 For this cause shall a man leave his father and mother, and shall be joined unto his wife, and they two shall be one flesh. The church is to be joined unto Christ. In Matthew Jesus used the word cleave. I do not see that the church is to be joined to Christ and the state. 32 This is a great mystery: but I speak concerning Christ and the church. He speaks of the relationship that the church is supposed to have with Christ. One that is supposed to be holy and true. One, that's with each other without interference, blessed. Eph 1:20 Which he wrought in Christ, when he raised him from the dead, and set him at his own right hand in the heavenly places, 21 Far above all principality, and power, and might, and dominion, and every name that is named, not only in this world, but also in that which is to come: 22 And hath put all things under his feet, and gave him to be the head over all things to the church Christ is to be all things to the church. He is in Charge and Head of the church not the state. The state is under His feet, it is the footstool of the Lord why put it ahead of Him? 23 Which is his body, the fullness of him that filleth all in all. KJV There are more Scriptures that would support that Jesus is the sole authority over the church. Most of us Christians know this and believe this. I challenge my brothers and sisters to find them. Study them, to see if the Truth is being brought forth. Jesus Christ Should Be The Head Of The Church - Why Then Incorporate? Many people for some reason think that a church has to. This is far from the truth on a few different levels. Here in the United States of America a church does not have to incorporate at all to be recognized as a local body of believers. (Not sure why they would want recognition from the state anyway.) I know some of you are thinking "Well, Romans 13 says..." Most of us have been taught that whatever the government says, goes. Wrong! If the government passes a law that interferes or contradicts one of Gods law we are not bound to follow it. There are examples of this in the Bible ; we have all heard the story of Daniel and the lions' den. To think Christians are bound by the laws of men, when it comes to the work of the Kingdom, is just stupid. If this were the case the church in Russia, China, Middle East and other places - if they listened to Romans 13 the way it is applied now - would never have seen growth. How about the brothers/sisters that smuggled Bibles into the old Soviet Block, China, Cuba and others? Whose law did they break? Man's. The local government's. They may be held accountable for their actions by men, they might even lose their lives. Guess what? God will reward them for their actions. They were doing the work of the Kingdom. I know most of us have heard that Federal law supercedes state law. State law supercedes county, city and town law, and so on and so forth. Guess what? The law of God supercedes all of man's law when it goes against His own (Acts 4:18-19). The point is even if there was a law requiring churches to incorporate we would not be bound to do so. In doing so we would be removing the Lordship of Jesus and giving it to the state. Thank God we have not reached this point yet in this country but don't be fooled, its coming. Why then do churches incorporate? 1. They think they have to. 2. They feel it gives them some benefit. 3. They think it gives them prestige. 4. Asset protection. 5. Think it's the only way gifts are tax deductible. 6. Think its okay with God. 7. They have always done it that way. The list could go on, I'm sure we could all find some earthly reasons why we think incorporating would be a good idea. We Still Think It's The Law - Show me Otherwise If you still think it's the law and that would make any difference to you in your relationship with the Lord, I will show you differently: "Congress shall make no law regarding an establishment of religion, or prohibiting the free exercise thereof" (U.S. Constitution, First Amendment). According to the Internal Revenue Code, "a church, its integrated auxiliaries, and conventions and associations of the church are excluded from taxation." United States Code, Title 26, 508(c)(1)(A). Section 508(c) of the Internal Revenue Code provides that churches are not required to apply for recognition of Section 501(c)(3) status in order to be exempt from federal taxation or to receive tax deductible contributions. Churches are automatically exempt from Federal income tax, and contributions to churches are deductible by donors under section 170. Elsewhere, the IRS states: "Although a church, its integrated auxiliaries, or a convention of churches is not required to file Form 1023 to be exempt from federal income tax or to receive tax deductible contributions, such an organization may find it advantageous to obtain recognition of exemption (Tax Exempt Status for Your Organization, IRS Publication 557). Just what "advantage" is there for a church in obtaining 501(c)(3) recognition and thereby exchanging its sovereignty for a subordinate status in relation to the federal government? Most people would answer that such grants the church exemption from taxation. However, we have already seen that the federal government has never been able to tax the Church of Christ; the Church is not exempt from taxation, it is immune. The "advantage" is something else entirely: "By establishing its exemption, potential contributors are assured by the [Internal Revenue] Service that contributions will be deductible" Tax Exempt Status for Your Organization, IRS Publication 557. The tragic irony of all this is that, according to the Internal Revenue Code, financial donations to an unregistered, unincorporated church are automatically tax-deductible (26 USC 170-B). The government has no constitutional authority over the Church. It is not allowed to violate the First Amendment protection that the constitution provides. In fact the government may not infringe on any of our constitutional rights at all. They have found a way around this of course. To hold out an unbiblical advantage hoping an ignorant clergy person will take the bait and bring the church into voluntary compliance by forming a 501( C )(3) corporation, thus placing the church under the authority of the state. Once the church has been transformed into a corporation it then becomes subject to control by federal and state governments. In truth an incorporated church is no longer a church!! but merely a non-profit organization. Once a church incorporates the new non-profit organization is subject to total control by the government. You will be controlled on who you hire, what you can and cannot preach. You cannot conflict with public policy nor assault the hearer's sense of mental well being, self-esteem, sexual orientation etc. You can be sued. The IRS prohibits such organizations from "carrying on propaganda, or otherwise attempting to influence legislation" (26 USC 501-C-3). This prohibition extends, not only to the endorsement of a political candidate, but also any other attempts to "influence legislation," including taking a public stand against such government-protected abominations, such as abortion or homosexuality. Now, the church is discovering that favors from Washington, DC have strings attached. In this case, the string is a rope that is being used to throttle her once-powerful voice, to squeeze out her very life and, eventually, to hang her by the neck until dead! History Of Our New Nation: One of the reason people came to the new land was to get away from the entanglements of the old world. Quite a few of the reasons dealt with the issue of church and state. People where fleeing a repressive regime where there was a state-sponsored church or the church was running the governments. It was bad enough that people picked up and left. Now we seem to be returning to what our forefathers left on our own free will. We are taking a license to preach from the state, being told what we can and can't say. One of the things that inspired Patrick Henry's speech "Give Me Liberty Or Give Me Death" was, he saw a man being beaten for preaching the gospel without a license. If we forget history we are doomed to repeat it. We as Christians need to wake up and take a stand. One thing that sticks in my mind is when I got married : "By the power vested in me by God and the State of California I now...." What Do I Do Now? (This section will not be favored by corporate Pastor/Ministers.) 1. You became incorporated, become unincorporated. 2. Talk to your Pastor/Minister about this important issue. 3. Rescind your membership in an incorporated church. 4. Don't incorporate. 5. Don't support incorporated churches. 6. Find an unincorporated church. 7. Start an unincorporated church. 8. Study Your Bible Daily. 9. Pray for the Body of Christ. 10. Witness and lead people to a personal relationship with Jesus. I know finding an unincorporated church will be a real chore, as there are not many out there. There is also a real need to hear and study the word. If you must go to an incorporated church I suggest not becoming a member. I know this is not the norm but we have to remember who the head of the church is, and especially, that we are not join to ourselves to a harlot. Churches which have (knowingly or not) substituted the authority of Christ with sinful man's demonically-influenced word system fit this description. This issue has weighed on my spirit for a long time. I'm guilty of idolatry for finding things to put before Him in the writing of this paper. I was led to write this and now it's almost done. I only pray that God will get the glory, eyes and hearts will be opened and His Will be done. I realize this paper will not make me many friends. I know this, but that was not the point. I pray people will take the time to search out what The Word has to say on this issue. I would like to know what steps you personally take to ensure that you don't support the corporations that hire illegal immigrants. I have read a lot of information online, and it seems that the majority of US corporations hire illegal immigrants- everyone from Burger King and McDonalds to Best Western to Dell to Shell. Before you purchase a product or service, how do you ensure that it wasn't produced by illegal immigrants? This is particularly important for food products, because so much of the food produced in the US has been planted, grown, picked and packed by illegal immigrants. How do you ensure that the food on your plate was produced entirely by legal citizens/residents of the USA? Have you been forced to start growing your own food? Would you be embarassed if you actively protested against immigration but someone revealed that you bought products produced by illegal immigrants? I feel that people are not reading the question. In the 1930s, innovations in farm machinery would have caused an industrial revolution when applied to hemp. BACKGROUND While employed by Marubeni America Corporation (“MAC”), the plaintiffs, Kevin Long (“Long”) and Ludvic Presto (“Presto”), used MAC computers, that were issued to them to perform their respective work assignments, to send and receive e-mail messages to each other and to their attorney. In doing so, the plaintiffs used private password-protected e-mail accounts. 2 During the time the plaintiffs were employed by MAC, MAC’s Employee Handbook, which Long, in his capacity as senior vice president and general manager, human resources, helped prepare, cautioned its employees that “all communications and information transmitted by, received from, created or stored in [MAC’s automated systems] (whether through word processing programs, database programs, e-mail, the internet or otherwise) are company records” and “MAC’s property.” The Handbook advised MAC employees to use MAC’s automated systems for “job-related purposes,” since “use of the systems for personal purposes are (sic) prohibited.” The Handbook advised further, that MAC had the right to monitor its automated systems and that its employees “have no right of personal privacy in any matter stored in, created, received, or sent over the e-mail, voice mail, word processing, and /or internet systems provided” by MAC. Unbeknownst to Long and Presto, MAC issued computers had an automatic administrative function that stored temporary internet files in a separate folder that was accessible only to authorized MAC employees. Retained within the folder were residual images of the plaintiffs’ e-mail messages. In the course of assembling documents for disclosure to the plaintiffs, MAC discovered approximately 3000 temporary internet files on the computers it had assigned to the plaintiffs. These files appeared to contain communications that implicated the attorney-client communication privilege. MAC segregated that material and advised the plaintiffs of its discovery. Thereafter, the Court directed the defendants to permit the plaintiffs to examine the 3000 files so that they might determine whether, in their view, any privileged communications resided in the 3000 files. If, after review, the plaintiffs determined that privileged 3 communications were within the files, they were directed to: (a) prepare a privilege log; and (b) serve that log on the defendants. The plaintiffs complied with the Court’s directive and produced a privilege log with 25 entries. As noted above, the plaintiffs allege that the 25 items noted in the log may be withheld from disclosure to the defendants because of the attorney-client communication privilege, the work-product doctrine, the joint client doctrine and/or the inadvertent disclosure doctrine. For their part, the defendants maintain that: 1) no attorney-client communication privilege attached to 25 items because the plaintiffs had no reasonable expectation of privacy when they used MAC’s computers and internet access to send e-mail messages, in contravention of MAC’s Electronic Communications Policy (“ECP”), as published in the MAC Employee Handbook; 2) the plaintiffs’ e-mail communications with each other are not protected by the work-product doctrine; 3) the inadvertent disclosure doctrine does not apply to the material at issue; and 4) the joint client doctrine was unilaterally waived by Long. To facilitate the resolution of this dispute, the Court reviewed, in camera, the 25 items identified in the privilege log. DISCUSSION Attorney-Client Privilege “The attorney-client privilege is one of the oldest recognized privileges for confidential communications.” Swidler & Berlin v. United States, 524 U.S. 399, 403, 118 S. Ct. 2081, 2084 (1998). The privilege, designed to facilitate openness and full disclosure between the attorney and the client, shields from discovery advice given by the attorney as well as communications from the client to the attorney. See Upjohn Co. v. United States, 449 U.S. 383, 101 S. Ct. 677 (1981). It permits a client to both refuse to disclose and prevent others from disclosing 4 confidential communications between himself and his legal representatives, made in pursuance of or in the facilitation of the provision of legal services to the client. See Mui v. Union of Needletrades, No. 97 Civ. 7270, 1998 WL 915901, at *3 (S.D.N.Y. Dec. 30, 1998); Arcuri v. Legal requirements for Tennessee Nonprofit Corps. to disclose financial statements to the general public? I'm actively involved with a organization that is chartered Nonprofit in the State of Tennessee. As of recently I am concerned that the financial well being of the organization is not being properly maintained. I am not an officer with the organization, and since the organization has no members (for legal reasons), I am technically not a member. For all intents and purposes I am part of the general public that happens to donate a couple hundred hours of service a month, as well as financial support to this organization. My question; Is there a relevant section of the Tennessee Revised Code for Nonprofit Corporations, that would require financial statements be reviewable to the general public?
In the USA do corporations have any constitutional rights that women don't have? I know the Equal Rights Amendment has not yet passed, so men and women are not equal (for example, men must register for the Selective Service and women can't register). I know corporations have won certain constitutional rights through the courts, like the right to free speech (collectively I believe these rights are referred to as "corporate personhood"). If Democrats really want to increase taxes on the uber-rich. How about this idea? Right now we have one of the highest if not the highest taxes on corporations in the world. As a result jobs and companies are leaving at a high rate. Even smaller companies (like the one I work for) are looking to send the work they do outside of the USA. What can the US Government do to reverse this trend? I've a novel plan that should satisfy almost everyone. Before you say it's pure BS think about it. No corporate taxes at all. Over seas companies would be moving here, and in droves. And no federal taxes other than personal income taxes. I know your first thoughts are that can't possible work. But it can. I'll explain how. Corporations are in business to make money period. If they don't they don't stay in business. But although they want to make money that also don't want a lot of money lying around doing nothing. They want it working as well. So they put it to work. They renovate, renew, or rebuild their facilities. The purchase new equipment, update older equipment, retool, and other things like that. All these things means the money keeps moving. And when money moves someone makes a profit. Sooner or later all that money will end up with individuals in some shape, form, or fashion. HERE is where the taxes come in. Any salary, wage, commision, or benefit given to an individual is subject to being taxed. And here's where you start. If someone is living above the poverty line thay will pay some tax. How much will they pay depends on how far above the poverty line they are. No flat tax, but a graduated tax with no upper limit. It make no sense to tax someone making $40K at the same rate as someone who makes $40M a year. Democrats are always saying they ony want to increase taxes on the uber-rich while lowering the taxes on the lower and middle class people. Here's their chance. I'll leave it to the statisticians and mathmaticians to figure out how fast the percentage curve rises. And here's another thing that will make it work. All the loopholes in the present tax code will cease to exist. The only things you would be allowed to deduct would be for each member of the household(plus on additional deduction for special needs cases) and family health insurance. But other than that NO DEDUCTIONS. This years US Budget was about $3 Trillion (that's 12 zeros) to provide for every man, woman, and child, legal and illegal (about 300M) living in the USA. You do the math, I could have made a mistake. But doesn't that figure out to be about $10K each? I don't know about you but I'm not sure I got my $10K worth of services out of the Federal Government. How much of that was eaten up in buracracy. But that is an whole ball of worms. Let individuals pay all the taxes. What's wrong with that idea? G-gal- If you ask me this is about as fair as tax can get. A flat tax or sales tax hits really hard on the people that can least afford it. 10% tax on someone just over the poverty line knocks them back below the poverty line. 10% tax on someone who makes millions or billions and they never even notice it. E-smile. Under my idea there would be no advantage to play fast and loose with the companies books. Creative financing goes out the window. Companies only do that to avoid taxes. OH, and under my system before anyone claims a loss they have to actually lose something. Paper loses don't count! To all of you who said it wouldn't work. can an administrative body/board impose rules that are more restrictive than the state law the rule is based? a fairly new state law allows private persons or entities to contract with the state to provide a public service. A recent amendment requires the contractor to incorporate. The administrative board and legal department is not friendly to this provision so they have imposed a rule restricting the governance composition of these service providers. In other words, my board and I are liable and responsible for the operations and viability of our corporation, but the state board is now telling me who I can and cannot have on my corporate board. Again, the law does not require or allude to such things. I have not heard of a state agency ever reaching into private corporate governance and wonder if I should pursue action. We are told the state will not allow our corporations to continue contracting with the state unless we place or remove certain people from our boards. The restriction does not have to do with things like having clean criminal background checks- I could understand tha It's not related to conflicts of interest either, as that is stated in the law. They actually want the customers that we serve to be on our boards having an influence on how we carry out our service. Further, they want us to have elections from among the customers we serve to put some of these people on our private corporate board. I have never heard of a government agency having that much regulation over the governance of a private contractor. I can understand that the operations and outputs may need to meet standards, but who sits on our board seems over the top.
